What is a Registered Agent?

A registered agent (also called a statutory agent or agent for service of process) is a person or company designated to receive legal documents on behalf of your LLC.

Every US LLC is required by law to maintain a registered agent with a physical street address (not a P.O. Box) in the state where the LLC is formed.

How it is billed

Form your LLC with us and the first year of registered agent service is included in the formation fee. From year two it is part of the annual plan, along with the state annual report and your Form 5472 filing: $900 a year in New Mexico, $1,000 in Wyoming and Florida, $1,250 in Delaware. There is no separate registered agent invoice.

How much mail is included

Anything from the state and anything legal, service of process, Secretary of State notices, compliance mail, is scanned and forwarded to you without limit and without counting against anything. On top of that you get 13 scans of general business mail a year, which is more than almost any holding or compliance-only company ever receives.

If you use the address as a working business address and go past that, we pass the provider's cost straight through: $15 per additional scan, and $9 plus postage if you need a physical document mailed on to you. No markup.

What Happens If I Don't Have a Registered Agent?

Operating without a registered agent (or with an invalid registered agent) can result in:

• Administrative dissolution — Your LLC may be involuntarily dissolved
